OF OUR POLICIES AND STANDARDS. YOU FURTHER AGREE THAT ANY
SUCH VIOLATION WILL CAUSE US DAMAGES. WHILE WE TAKE NO RESPONSIBILITY
WHATSOEVER FOR THE CONTENT OF YOUR AD, WE RESERVE
THE RIGHT TO REJECT ANY AD AT OUR DISCRETION. THESE TERMS ARE SUBJECT
TO CHANGE AT ANY TIME BY Triad Worktek.
Services. You acknowledge acceptance of the restrictions set
forth on our site. We may modify, suspend or terminate your services (or
delete your information from the system) at any time for any reason without
notice.
Rights, Responsibilities & Laws. You hereby grant to us and
to the public the right to use, copy or modify in any form any communications
or information you utilize on the Triad Worktek system. You shall have
absolutely no recourse against us as the Triad Worktek system provider
for any alleged or actual infringement of any of your proprietary rights.
You hereby grant us the right to use your name in connection with our
promotion of the Triad Worktek system. In using the Triad Worktek system,
you will abide by all applicable laws, rules and regulations, including
equal opportunity laws, and will not use the system to commit a crime,
libel slander, obscenity, indecency, intellectual property infringement,
or to plan, or encourage or help others, to do so.
Limitations. The Triad Worktek System is provided
"as is" and we make no warranties, express or implied, as to the merchantability,
fitness for a particular use or purpose, title, non-infringement or otherwise.
You and your applicants' use our system, including the content thereof,
is entirely at your sole risk; and that your use is expressly limited
to your recruiting of employees in accordance with our policies. We will
not be responsible to you or any third parties for any direct or indirect,
consequential, special or punitive damages or losses you may incur in
connection with or relating to our system. In the event the foregoing
limitation is not enforceable in any state, our maximum liability shall
be limited to the fee for a single job posting. You will defend, indemnify,
and hold us harmless from all claims, liabilities, losses and expenses
(including reasonable attorneys fees), relating to any acts, or failures
to act, by you or materials or information transmitted by you in connection
with our system.
Nature of agreement. These terms represent the entire
binding agreement between you and us, and our respective successors and assigns,
and supersede any and all prior understanding, statements or representations
regarding Triad Worktek. You will ensure that all of your employees and
representatives using, or otherwise having access to, the system do so
only in strict accordance with these terms. No provision hereof may be
amended, modified, assigned or waived by you, except in a writing signed
by both parties. These terms shall be governed by internal California
and relevant federal laws, and exclusive jurisdiction and venue for any
action shall
be had in the state and federal courts located in Los Angeles
County. (The prevailing party in any such action shall be entitled to
reasonable attorneys' fees.) These terms shall be severable and construed
to the extent of their enforceability in
light of the parties' mutual intent if deemed at all enforceable by a competent court. Given the nature
of the last sentence of "Rights, Responsibilities, & Laws"
you entitled to equitable relief upon breach thereof.
